Transportation Provider Agreement

This Transportation Provider Agreement ("Agreement") establishes the legal framework between transportation service providers ("Driver," "You," or "Provider") and JustCabbie regarding the utilization of our digital platform and related transportation services.

1. Company Overview

1.1 Legal Framework

This Agreement creates a binding legal relationship whereby:

  • JustCabbie grants access to our mobile driver application, web platform, and proprietary technology systems (collectively "Platform")

  • Drivers may choose to offer transportation services to users requesting rides through our passenger application ("Riders")

1.2 Contracting Parties

This Agreement is between You and JustCabbie (UK Company Registration: 12465517), operating from Graphica House, Deanstones Lane, Queensbury, Bradford, United Kingdom BD132AS, covering platform access, payment processing, and related services.

2. Platform Services

2.1 Digital Marketplace

JustCabbie operates a technology platform connecting transportation providers with individuals seeking ride services. Our system facilitates ride requests from Riders and distributes these opportunities to available Drivers through our mobile application.

2.2 Service Provision

We provide platform access and related services at no charge, subject to compliance with this Agreement. Transportation services you provide through our platform are termed "Trips" in this document.

2.3 Booking Authority

JustCabbie maintains exclusive authority to accept all ride requests under our Private Hire Vehicle Operator License (UK Registration: 12465517), issued pursuant to applicable transportation regulations.

2.4 Driver Responsibilities

You must supply all necessary equipment for service provision, including vehicle, fuel, maintenance, insurance, and regulatory compliance costs.

3. Registration Process

3.1 Application Requirements

Before platform access, you must complete our registration process, providing:

  • Personal identification and credentials

  • Valid private hire driver license

  • Vehicle documentation (insurance, registration, safety certificates)

  • Background verification materials

  • Any required medical, geographical knowledge, or language certifications

3.2 Account Security

Upon registration, you'll establish login credentials that remain non-transferable and confidential. These credentials serve as your unique platform identifier.

3.3 Representations and Warranties

By submitting your application, you confirm:

  • Legal capacity to enter this Agreement

  • Complete understanding and acceptance of all terms

  • Accuracy of all provided information

  • Commitment to maintain account security

  • Authorization to work in the United Kingdom

  • Possession of all required licenses, permits, and insurance

  • Medical fitness for vehicle operation

  • Compliance with all applicable regulations

3.4 Ongoing Verification

JustCabbie continuously monitors compliance and may request additional documentation. You must promptly report any changes affecting your eligibility or ability to provide services.

3.5 Approval Process

Applications undergo review, and approval depends on meeting our established criteria. Non-compliance may result in immediate agreement termination.

4. Mobile Application

4.1 Access Provision

Upon approval, you'll receive application download instructions and account access credentials.

4.2 Usage Rights

Subject to Agreement compliance, JustCabbie grants limited, non-transferable access to our platform services.

4.3 Communication Channel

The application serves as our primary communication method for:

  • Trip opportunity notifications

  • Regulatory reminders and updates

  • Service area restrictions

  • Performance feedback

4.4 Trip Management

All trip acceptance, tracking, and completion must occur through our application. Direct passenger contact outside the platform is prohibited.

4.5 Allocation System

We maintain sole authority to:

  • Accept ride requests from passengers

  • Distribute opportunities to nearby drivers

  • Reallocate declined requests

  • Terminate bookings when necessary

4.6 Safety Controls

We may restrict platform access after extended driving periods to promote safety.

4.7 Account Suspension

Behavioral violations or criminal investigations may result in immediate account suspension.

4.8 Platform Control

JustCabbie retains complete management authority over:

  • Request processing and dispatch

  • Driver and vehicle monitoring

  • Real-time location tracking

  • Customer support services

  • Complaint resolution

  • Law enforcement cooperation

4.9 Intellectual Property

All platform technology, content, and documentation remain JustCabbie's exclusive property, protected by applicable intellectual property laws.

5. Technical Support

5.1 Support Services

We may provide application support during standard business hours (08:00-18:00 GMT+2) through in-app messaging and telephone assistance, with the right to modify or discontinue support with reasonable notice.

6. Trip Requests

6.1 Opportunity Distribution

We broadcast accepted passenger requests to available drivers in the relevant service area, with no exclusivity guarantees.

6.2 Service Agreements

Each accepted trip creates a separate agreement between you and the passenger, with JustCabbie facilitating the connection.

6.3 No Guarantee

Platform usage doesn't guarantee trip opportunities or earnings.

6.4 Acceptance Flexibility

Trip acceptance remains entirely voluntary. We encourage accurate availability status to optimize request distribution.

6.5 Cancellation Policy

Pre-trip cancellations are permitted through the application, though excessive cancellations may result in account restrictions.

6.6 Rating System

Passengers may rate your service, with ratings visible to future customers. We provide guidance on maintaining positive feedback.

7. Service Standards

7.1 Professional Obligations

When providing trips, you commit to:

  • Efficient, safe transportation to the passenger's destination

  • Full legal and regulatory compliance

  • Maintaining fitness for vehicle operation

  • Professional conduct and passenger-focused service

  • Prohibition of weapons and discriminatory behavior

  • Maintaining required insurance coverage

  • Proper handling of passenger information

7.2 Incident Reporting

You must report any unusual occurrences during trips. We maintain records of all bookings, complaints, and incidents.

8. Passenger Verification

8.1 Identity Confirmation

Before trip commencement, verify passenger identity through the application or explicit account authorization.

8.2 Misidentification Consequences

Incorrect passenger identification resulting in improper billing will trigger passenger reimbursement and forfeiture of your trip payment.

9. Payment Processing

9.1 Payment Services

JustCabbie handles all financial transactions, including passenger billing, payment collection, reporting, refunds, and driver remittance.

9.2 Commission Structure

In exchange for payment services, we retain a commission from each fare, with rates accessible through your account dashboard.

9.3 Rate Changes

Commission rates may change with advance notice. Continued platform usage constitutes acceptance of revised rates.

9.4 Independent Earnings

We claim no entitlement to earnings from services provided outside our platform.

10. Fare Structure

10.1 Fare Collection

JustCabbie collects passenger payments on your behalf for each completed trip.

10.2 Fare Estimation

Pre-acceptance estimates are provided to both drivers and passengers, though actual fares may vary based on real trip conditions.

10.3 Fare Calculation

Final fares incorporate actual distance, time, surge pricing, and route factors.

10.4 Fixed Pricing Options

Some trips may offer predetermined fares, subject to modification if trip characteristics change significantly.

10.5 Route Flexibility

You may select reasonable routes, though passenger commitments per Section 7 remain applicable.

10.6 Cancellation Compensation

Passenger cancellations after specified timeframes may trigger cancellation fees payable to drivers.

11. Financial Settlement

11.1 Cashless Transactions

All payments occur electronically through our platform. Cash collection is prohibited.

11.2 Payment Processing

Trip completion triggers automatic passenger billing and receipt generation.

11.3 Weekly Remittance

Collected fares minus applicable commissions are transferred weekly to your designated account, subject to minimum thresholds and dispute resolution.

11.4 Payment Disputes

Disputed amounts may be withheld pending resolution.

11.5 Collection Failures

Non-payment by passengers may result in reduced or eliminated driver payments, with JustCabbie providing collection assistance.

11.6 Promotional Codes

You must accept valid promotional codes, with fraudulent usage resulting in payment forfeiture.

11.7 Extended Trip Risk

For trips exceeding 90 miles or two hours, drivers assume non-payment risk, with JustCabbie providing collection assistance.

12. Misconduct Reporting

12.1 Law Enforcement Cooperation

Suspected criminal activity will be reported to appropriate authorities, with JustCabbie providing necessary information and cooperation.

13. User-Generated Content

13.1 Content Standards

All content you provide must comply with acceptable use standards outlined in Section 14.

13.2 Licensing Rights

While you retain ownership of your content, you grant JustCabbie worldwide, perpetual licensing rights for platform operation purposes.

13.3 Content Monitoring

We may monitor and remove content violating our acceptable use policies.

14. Acceptable Use Standards

14.1 Prohibited Activities

Platform usage prohibits:

  • Security system interference

  • Unauthorized access attempts

  • System disruption or hacking

  • Malicious software introduction

  • Inappropriate content submission

  • Copyright infringement

  • Privacy violations

  • Harassment or abusive behavior

  • Automated system abuse

14.2 Violation Consequences

Policy violations may result in warnings, content removal, account suspension, legal action, or law enforcement notification.

15. Liability and Risk Allocation

15.1 Service Disclaimer

Platform services are provided "as is" without warranties, with JustCabbie disclaiming responsibility for uninterrupted operation.

15.2 Limitation of Liability

To the maximum extent legally permissible, JustCabbie limits liability for indirect damages, lost profits, business interruption, or data loss.

15.3 Indemnification

You agree to indemnify JustCabbie against claims arising from your platform usage, legal violations, or trip provision.

15.4 Tax Responsibilities

As an independent contractor, you're responsible for all tax obligations, with JustCabbie indemnification against tax-related claims.

16. Privacy and Data Protection

16.1 Privacy Policy

16.2 Passenger Data Handling

Passenger information may only be used for trip fulfillment purposes in compliance with data protection regulations.

17. Agreement Duration and Termination

17.1 Effective Period

This Agreement begins upon application submission and continues until terminated by either party.

17.2 Driver Termination

You may terminate with seven days' written notice, triggering immediate license revocation and application removal requirements.

17.3 JustCabbie Termination

We may terminate with three days' notice or immediately for Agreement violations or service quality issues.

17.4 Survival Provisions

Certain sections survive termination, including payment obligations, intellectual property protections, and liability provisions.

18. General Provisions

18.1 Governing Law

This Agreement is governed by United Kingdom law, with disputes resolved in UK courts.

18.2 Assignment Restrictions

You may not assign this Agreement, while JustCabbie may assign to affiliated entities.

18.3 Notice Procedures

Official notices are delivered via email, registered mail, or through the driver application.

18.4 Severability

Invalid provisions are replaced with enforceable equivalents maintaining the Agreement's intent.

18.5 Amendment Process

Agreement modifications require three days' advance notice, with continued platform usage constituting acceptance.

18.6 Third-Party Rights

No third parties may enforce Agreement provisions under applicable third-party rights legislation.
